Terms of Service
Effective date: October 5, 2026
1. Agreement
These Terms govern use of the Quinn service provided by MadamQ Bio AI, LLC("MadamQ," "we"). By subscribing, you ("Customer," "you") agree to them.
2. The service
Quinn is an AI voice agent that answers Customer's inbound calls, gathers caller information, books appointments on Customer's calendar, and takes messages. Specific features depend on the subscription plan and configuration.
2.1 Quinn is artificial intelligence
Quinn is an automated system, not a human, and it will sometimes be wrong. It may misunderstand a caller, mis-transcribe information, or fail to capture a detail correctly.
Customer is responsible for reviewing bookings and messages and for confirming details before dispatching work or committing resources.
2.2 Not an emergency service
Quinn is not an emergency response service and must not be represented as one. Quinn instructs callers reporting life-safety situations to hang up and call 911. Customer will not configure or market Quinn as a substitute for emergency services.
2.3 Availability
We will use commercially reasonable efforts to keep the service available. We do not guarantee uninterrupted service or that every call will be answered or booked. Telephone networks, third-party providers, and internet connectivity are outside our control.
2.4 Text messages and consent
All messages sent through the service are transactional. MadamQ sends SMS in two situations only:
- Appointment confirmations and related updates to callers, following a call that the caller placed to Customer's business.
- Call, booking, and message notifications to Customer, as part of Customer's subscription.
We do not send marketing or promotional text messages, and Customer may not configure or use the service to send them.
Consent basis. A caller's consent arises from their own inbound call to Customer's business: the caller dials Customer, Quinn discloses at the start of the call that it is an automated assistant on a recorded line, and the caller is asked before a confirmation text is sent — verbatim: "I'll text you a confirmation at this number — is that alright?" A caller who declines receives no messages and their appointment is unaffected. No message is sent to any number that has not contacted Customer's business.
Opt-out. Every message program honors STOP to opt out and HELP for assistance. Opt-out requests are processed on receipt, and an opt-out stops messages without canceling the underlying appointment.
No sale or sharing. MadamQ does not sell, rent, or share mobile phone numbers or SMS consent with third parties for their own marketing purposes. Message frequency varies with call volume. Message and data rates may apply.
Customer's obligations. Customer will not use the service to send unsolicited messages, will not upload or import numbers that have not contacted the business, and remains responsible for its own compliance with the Telephone Consumer Protection Act and any other law applicable to its communications with its customers.
3. Customer responsibilities
You are responsible for:
- Accurate configuration — hours, services, pricing, service area, availability
- Call recording consent. Calls handled by Quinn are recorded and Quinn discloses this. You are responsible for ensuring recording complies with the law in every jurisdiction where you and your callers are located. Some states require all parties to consent.
- Your own legal and regulatory compliance, including any licensing or industry obligations
- Reviewing bookings and messages before acting on them
- Keeping your account credentials secure
- Not using the service for unlawful purposes, harassment, or unsolicited marketing calls or texts
4. Fees and payment
- Fees are set out in your order or proposal
- Setup fees are due before implementation begins and are non-refundable once work starts
- Subscription fees are billed monthly in advance
- Usage beyond the included allowance is billed in arrears
- Late amounts may accrue interest at 1.5% per month or the maximum permitted by law
- Fees are exclusive of taxes
- We may change fees with 30 days' written notice
5. Term and termination
- Month-to-month unless stated otherwise in your order
- Either party may terminate with 30 days' written notice
- We may suspend or terminate immediately for non-payment or breach
- On termination: access ends, and we will provide your booking data on request within 30 days, after which it may be deleted
- Prepaid fees are not refunded except where required by law
6. Data
- You own your data — your business information, your customers' information, bookings, and recordings of calls to your business
- We own the platform — the software, prompts, models, configurations, and improvements
- We process your data to provide the service, as described in our Privacy Policy
- We may use aggregated and anonymized data — data that does not identify you, your business, or any caller — to improve the service and develop our products
7. Intellectual property
MadamQ retains all rights in the service, including software, prompt engineering, integrations, and know-how. You receive a non-exclusive, non-transferable right to use the service during your subscription. Nothing transfers ownership of the platform to you.
8. Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADAMQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the service will be error-free, that every call will be answered or booked correctly, or that it will meet your requirements.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or lost data, regardless of the theory of liability, even if advised of the possibility.
(b) MadamQ's total aggregate liability arising out of or relating to these Terms shall not exceed the total fees paid by Customer to MadamQ in the twelve (12) months preceding the event giving rise to the claim.
(c) These limits do not apply to: a party's indemnification obligations under Section 11; Customer's payment obligations; or liability that cannot be limited by law, including gross negligence or willful misconduct.
11. Indemnification
You will indemnify MadamQ against third-party claims arising from: your use of the service in violation of these Terms or law; your failure to obtain required call-recording consent; content or instructions you configure; and your own products, services, or obligations to your customers.
We will indemnify you against third-party claims that the service, used as permitted, infringes that party's intellectual property rights.
The indemnifying party controls the defense; the other provides reasonable cooperation.
12. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Stark County, Ohio.
13. General
- Entire agreement — these Terms plus your order supersede prior discussions
- Amendment — we may update these Terms with 30 days' notice; continued use constitutes acceptance
- Assignment — you may not assign without our consent; we may assign in connection with a merger or sale
- Severability — if a provision is unenforceable, the rest remains in effect
- Force majeure — neither party is liable for delays caused by events beyond reasonable control
- No waiver — failure to enforce a provision is not a waiver of it
